UNIVERSAL CART – TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern access to and use of the Universal Cart website, mobile platforms, applications, and related services (collectively, the “Platform”).

By accessing, registering on, or using the Platform, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

1. Definitions

• “Company” refers to Universal Cart Investments Private Business Corporation (PBC).
• “Universal Cart,” “we,” “us,” or “our” refers to the Company.
• “User,” “Customer,” “you,” or “your” refers to any individual or entity using the Platform.
• “Platform” refers to the Universal Cart website (https://universalcart.online) and associated systems.
• “Order” means a request to purchase products through the Platform.
• “Products” refers to goods listed for sale on the Platform.

2. Eligibility, Account Registration, and User Warranties

2.1 You must be at least 18 years of age to register and use the Platform.

2.2 By creating an account and using the Platform, you warrant, represent, and confirm that:

2.4 You are responsible for safeguarding your login credentials and for all activities conducted under your account.

2.5 Universal Cart reserves the right to suspend, restrict, or terminate accounts that provide false, misleading, incomplete, or unlawful information, or that breach these Terms.

3. Nature of the Platform

3.1 Universal Cart operates as an online e-commerce platform offering products including but not limited to machinery, electronics, apparel, furniture, and equipment.

3.2 Universal Cart manages product offerings, order processing, customer communication, and fulfillment coordination through its internal systems and operational framework.

3.3 Products offered on the Platform are made available under Universal Cart’s commercial standards and quality controls.
Universal Cart does not act as the importer of record for internationally shipped goods.
International transportation and customs clearance are handled by independent third-party logistics providers.

3.4 Product images, descriptions, and specifications are provided for reference purposes only and may vary slightly from delivered products.

4. Orders and Acceptance

4.1 Adding a product to the cart does not constitute acceptance of an order.

4.2 An order is deemed confirmed only after payment has been verified by Universal Cart.

4.3 Universal Cart reserves the right to accept, reject, delay, or cancel any order at its discretion.

4.4 Where an order cannot be fulfilled, the Customer will be notified accordingly.

5. Pricing and Currency

5.1 Prices are displayed in the applicable local currency based on the Customer’s location.

5.2 Prices may be updated at any time without prior notice.

5.3 Prices displayed at checkout include delivery charges, unless expressly stated otherwise.

In rare cases, where pricing changes occur after an order has been placed and paid for — including but not limited to changes in logistics costs, customs duties, taxes, or other operational factors — the Customer shall be notified of any outstanding balance or price difference.

The Customer is solely responsible for settling any additional amount required for the order to proceed.
Failure to pay the outstanding balance constitutes Customer default, and Universal Cart shall not be held responsible for delays, non-delivery, cancellation, or losses arising from such failure.

Universal Cart reserves the right to suspend, delay, or cancel the affected order without further liability if the pending balance is not settled within the communicated timeframe.

5.4 Universal Cart is not responsible for pricing errors resulting from system or third-party technical issues.

6. Payment Terms

6.1 Payments may be made using approved methods including mobile money, bank transfer, or other authorized channels.

6.2 Proof of payment may be required prior to order processing.

6.3 Universal Cart reserves the right to delay processing until payment verification is complete.

6.4 Fraudulent or suspicious payment activity may result in account suspension and legal action.

7. Delivery and Logistics

7.1 All delivery timelines provided are estimates only and are not guaranteed.

7.2 Estimated delivery timelines depend on product type, destination, logistics conditions, customs processes, regulatory requirements, public holidays, and external factors.

7.3 International transportation, customs clearance, and cross-border handling are performed by third-party logistics providers.
Universal Cart is not the importer of record and does not control customs decisions.

7.4 Delays may occur due to customs inspections, logistics congestion, regulatory actions, or circumstances beyond Universal Cart’s control.

7.5 Universal Cart shall not be liable for delays caused by force majeure events or third-party logistics providers.

8. Tracking

8.1 Customers will receive a tracking reference once the order has been dispatched.

8.2 Tracking information is provided through Universal Cart’s tracking system.

8.3 Tracking updates may not reflect real-time movement and depend on logistics partner reporting.

9. Inspection, Acceptance, and Delivery Damage

9.1 All products are inspected by the Universal Cart team prior to dispatch to confirm order accuracy and basic quality condition.

9.2 Customers are encouraged to inspect products immediately upon delivery.

9.3 Issues must be reported within 48 hours of receipt. Failure to report within this period constitutes acceptance.

9.4 Universal Cart is not responsible for damage, loss, or deterioration caused during local distribution or last-mile delivery by third-party couriers or transporters.

10. Returns, Refunds, and Cancellations

10.1 Orders may not be cancelled once processing has commenced unless approved by Universal Cart.

10.2 Refunds are considered only for:
• Non-delivery
• Damaged or defective products (excluding local distribution damage)
• Incorrect items delivered

10.3 Refunds are processed using the original payment method where possible.

10.4 Universal Cart reserves the right to reject refund requests that do not meet eligibility criteria.

10.5 Customers acknowledge that refund eligibility assessment and processing may be lengthy. Submission of a request does not guarantee approval.

11. Product Quality, Pricing, and Market Segmentation

11.1 Universal Cart offers products across a wide range of price points to cater to different budgets and market needs.

11.2 Product quality, materials, specifications, and durability may vary depending on price.

11.3 Dissatisfaction arising solely from price-based quality expectations shall not constitute grounds for refunds or liability.

12. User Conduct

Users agree not to:
• Use the Platform unlawfully
• Provide false or misleading information
• Harass or abuse staff or users
• Attempt to compromise platform security

Universal Cart may suspend or terminate accounts engaging in prohibited conduct.

13. Intellectual Property and Brand Usage

13.1 All content, systems, branding, and materials are the exclusive property of Universal Cart.

13.2 No individual or entity may use, wear, display, or represent the Universal Cart brand unless officially employed or authorized in writing.

13.3 Unauthorized use may result in legal action.

14. Privacy and Data Protection

Universal Cart processes personal data in accordance with applicable data protection laws and its published Privacy Policy.

15. Limitation of Liability

15.1 Universal Cart shall not be liable for indirect, incidental, or consequential damages.

15.2 Liability is limited to the value of the Customer’s order.

15.3 Universal Cart is not responsible for losses arising from misuse of the Platform or Customer non-compliance.

16. Force Majeure

Universal Cart shall not be liable for failure or delay caused by events beyond its reasonable control.

17. Amendments

Universal Cart may amend these Terms at any time. Continued use constitutes acceptance.

18. Governing Law

These Terms are governed by the laws of Zimbabwe.

19. Dispute Resolution

Disputes shall first be resolved amicably, failing which mediation or arbitration under Zimbabwean law shall apply.

20. Termination

Universal Cart may suspend or terminate access for breach of these Terms.

22. Fraud, Impersonation, and Unauthorized Transactions

Universal Cart is not responsible for transactions made through fake websites, impersonators, or unauthorized channels. Customers bear full responsibility for verifying official platforms.

23. Storage, Collection Delays, and Warehouse Charges

Delays beyond:
• 9 days (small goods)
• 14 days (large/heavy goods)
may incur daily storage charges. Universal Cart may withhold goods until charges are settled.

24. Customs Clearance, Seizures, and Additional Charges

Universal Cart is not liable for customs seizures, delays, or additional charges. Customers are responsible for settling any required customs-related fees.
